Affiliate Program Terms

1. Introduction

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the Outpacer AI Affiliate Program (the "Program") operated by Outpacer AI ("Outpacer," "we," "us," or "our"), a company incorporated in Delaware, United States, operating the platform at outpacer.ai. By applying to or participating in the Program, you ("Affiliate," "you," or "your") agree to be bound by these Affiliate Terms, our Terms of Service, and our Privacy Policy. In the event of a conflict between these Affiliate Terms and our Terms of Service, these Affiliate Terms shall prevail with respect to the Program.

2. Eligibility

To be eligible for the Program, you must meet the following requirements:

  • Age: You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
  • Valid website or platform: You must operate a legitimate website, blog, social media account, email newsletter, or other digital platform through which you will promote Outpacer. The platform must contain original content, be publicly accessible, and comply with applicable laws.
  • No trademark-infringing domains: Your domain name(s) must not contain "outpacer," "outpacerai," or any confusingly similar variation of the Outpacer brand name, trademarks, or service marks. Applications from domains that include our brand name will be automatically rejected.
  • Good standing: You must not have any previously terminated Outpacer accounts due to violations of our Terms of Service or Acceptable Use Policy.

3. Enrollment and Approval

To join the Program, you must submit an application through the affiliate registration page at outpacer.ai/affiliate. Applications are reviewed and approved at Outpacer's sole discretion. We may consider factors including but not limited to the quality and relevance of your content, your audience size and demographics, your niche alignment with the Outpacer platform, and your track record with other affiliate programs. We aim to review applications within 5 business days, although processing times may vary. We reserve the right to reject any application without providing a reason. Approval of your application does not guarantee continued participation in the Program; membership is subject to ongoing compliance with these Affiliate Terms.

4. Commission Structure

4.1 Commission Rate

Affiliates earn a 30% recurring monthly commission on all payments made by referred paying customers. The commission is calculated on the net revenue received by Outpacer (after deducting applicable taxes, payment processing fees, and any discounts or credits applied to the referred customer's account). The commission continues for as long as the referred customer maintains an active paid subscription, unless the Affiliate's participation in the Program is terminated.

4.2 Attribution

Referrals are tracked using a unique affiliate code embedded in your referral URL. When a prospective customer clicks your referral link, a 30-day attribution cookie is placed in their browser. If the prospective customer signs up for a paid Outpacer subscription within the 30-day cookie window, the referral is attributed to you. We use a last-click attribution model, meaning the affiliate whose referral link was clicked most recently before the customer's purchase receives the commission. Self-referrals (using your own affiliate link to purchase a subscription for yourself) are not permitted and will not generate commissions.

5. Payment Terms

  • Payment frequency: Commissions are paid on a monthly basis. At the end of each calendar month, we calculate the total commissions earned during that month and generate an invoice.
  • Payment schedule: Payment is made on a Net-30 basis from the invoice date. For example, commissions earned in January will be invoiced on February 1 and paid by March 3.
  • Minimum threshold: The minimum payout threshold is $50 USD. If your accrued commissions are below $50 at the end of a month, the balance will roll over to the following month until the threshold is met.
  • Payment methods: Commissions are paid via PayPal or bank transfer (ACH for US-based affiliates, international wire transfer for non-US affiliates). You are responsible for providing accurate payment information and for any fees charged by your payment provider.
  • Currency: All commissions are calculated and paid in United States Dollars (USD).
  • Taxes: You are solely responsible for reporting and paying any taxes applicable to the commissions you receive. Outpacer may require you to complete tax documentation (such as a W-9 or W-8BEN form) before processing payments.

6. Prohibited Promotional Methods

The following promotional methods are strictly prohibited. Violations may result in forfeiture of unpaid commissions and immediate termination from the Program:

  • Spam: Sending unsolicited bulk emails, messages, or communications to promote Outpacer. All email marketing must be sent to opt-in lists and must comply with the CAN-SPAM Act, GDPR, and other applicable anti-spam legislation.
  • Trademark bidding: Bidding on or purchasing paid search advertisements (Google Ads, Bing Ads, or similar platforms) that target the keywords "Outpacer," "Outpacer AI," "outpacer.ai," or any misspelling or variation thereof. Brand-related keyword advertising is exclusively reserved for Outpacer.
  • Misleading claims: Making false, exaggerated, or unsubstantiated claims about Outpacer's features, pricing, performance, or capabilities. All promotional materials must accurately represent the Service as described on our official website.
  • Fake reviews: Creating or soliciting fabricated reviews, testimonials, or endorsements for Outpacer on review sites, forums, social media, or any other platform. All reviews must reflect genuine, honest opinions based on actual use of the Service.
  • Cookie stuffing: Using hidden iframes, pop-unders, forced redirects, or any other technique to set affiliate cookies without the user's knowledge or genuine intent to visit outpacer.ai.
  • Incentivised clicks: Offering cash, credits, points, prizes, or any other incentive in exchange for clicking your affiliate link or signing up for Outpacer, unless explicitly approved in writing by Outpacer.
  • Impersonation: Representing yourself as an employee, agent, or official representative of Outpacer, or creating websites or social media accounts that could be confused with official Outpacer properties.

7. Relationship of the Parties

You are an independent contractor and nothing in these Affiliate Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and Outpacer. You have no authority to make or accept any offers, commitments, representations, or warranties on behalf of Outpacer, or to bind Outpacer in any way. You are solely responsible for your own business expenses, taxes, insurance, and compliance with applicable laws. Outpacer does not provide employee benefits, workers' compensation, or similar entitlements to Affiliates. You acknowledge and agree that you participate in the Program at your own risk and at your own expense.

8. Content and Promotional Guidelines

All promotional materials you create or distribute in connection with the Program must comply with the following guidelines:

  • Truthfulness: All claims about Outpacer must be truthful, accurate, and not misleading. You should only promote features and capabilities that are currently available in the Service.
  • Disclosure: You must clearly disclose your affiliate relationship with Outpacer in any content that contains affiliate links, in compliance with the Federal Trade Commission (FTC) Endorsement Guides and any applicable local regulations. Disclosures must be clear, conspicuous, and placed near the affiliate link.
  • Brand usage: You may use the Outpacer name, logo, and approved marketing materials solely for the purpose of promoting the Service through the Program. You may not alter, distort, or modify the Outpacer logo or branding in any way. Outpacer reserves the right to revoke permission to use its brand assets at any time.
  • Compliance: All promotional activities must comply with applicable laws and regulations, including consumer protection laws, advertising standards, data protection legislation, and platform-specific terms of service (for example, YouTube, Instagram, or TikTok community guidelines).

9. Termination

Either party may terminate participation in the Program by providing 30 days' written notice to the other party. You may submit a termination request by emailing legal@outpacer.ai. Outpacer may also terminate your participation immediately without notice for material violations of these Affiliate Terms, including but not limited to engaging in prohibited promotional methods, fraud, or activities that damage Outpacer's reputation.

Upon termination, all earned but unpaid commissions that meet the minimum payout threshold will be paid within 60 days of the termination date, provided the commissions are not subject to clawback (see Section 10). After termination, you must immediately cease all promotional activities, remove all affiliate links, and stop using Outpacer branding and marketing materials. Your access to the affiliate dashboard and reporting tools will be revoked upon termination.

10. Commission Clawbacks

Outpacer reserves the right to reverse (claw back) commissions in the following circumstances:

  • Refunds: If a referred customer receives a refund for any payment within 60 days of the original transaction, the corresponding commission will be deducted from your next payout.
  • Chargebacks: If a referred customer initiates a chargeback or payment dispute within 60 days of the original transaction, the corresponding commission will be reversed.
  • Fraudulent referrals: If Outpacer determines that a referral was obtained through fraudulent means, including but not limited to cookie stuffing, self-referrals, incentivised sign-ups, or the use of stolen payment information, all commissions associated with the fraudulent referral will be reversed and your account may be terminated.

If a clawback results in a negative commission balance, the negative balance will be carried forward and deducted from future earnings. If your Program membership is terminated with a negative balance, Outpacer reserves the right to invoice you for the outstanding amount.

11. Changes to These Terms

Outpacer reserves the right to modify these Affiliate Terms at any time. For material changes — including changes to commission rates, payment terms, or prohibited methods — we will provide at least 30 days' advance written notice via email to the address associated with your affiliate account. Non-material changes (such as corrections, clarifications, or formatting updates) may be made without prior notice. Your continued participation in the Program after the effective date of any changes constitutes your acceptance of the modified terms. If you do not agree with the changes, you may terminate your participation as described in Section 9.

12. Governing Law

These Affiliate Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Affiliate Terms that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Any arbitration or legal proceeding shall take place in Delaware, and each party consents to the exclusive jurisdiction of the federal and state courts located in Delaware for any proceedings not subject to arbitration.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUTPACER'S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM AND THESE AFFILIATE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL OUTPACER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF YOUR PARTICIPATION IN THE PROGRAM.
